1. Introduction

1.1 This is the Terms of Service Agreement for OBCIDIO, LLC (Refered to as OBCIDIO or the OBCIDIO Parties for the purpose of this agreement). If you continue to browse and use this platform-website you are agreeing to comply with, and be bound by the following terms of service set forth by OBCIDIO and it's affiliated services; which together with our Privacy Policy govern OBCIDIO's relationship with you in relation to this platform-website. OBCIDIO reserves the right to modify this agreement at any time.
1.2 The term 'OBCIDIO' or 'us' or 'we' refers to the owner of the website. The term "member" refers to users of the OBCIDIO platform. The term 'you' refers to the user, member, or viewer of our website. Terms of Service refers to this [Terms of Service Agreement]
1.3 By using any OBCIDIO Service, you agree to the terms and conditions [Terms of Service] contained in this document ("Agreement") as well as to the terms of the OBCIDIO's Privacy Policy, which is available at obcidio.com/privacy/ You agree to accept these terms electronically (either by selecting "I agree to the terms and conditions of the [Terms and Service] box or by electronic signature). By continuing to browse you are also agreeing to the terms and conditions of this [Terms of Service Agreement]. If you do not want to be bound by these [Terms of Service], you must discontinue use of all OBCIDIO and it's affiliates services.

2. Modification of Terms of Service

2.1 Please note that OBCIDIO reserves the right to make changes to the terms and conditions of this [Terms of Service Agreement] at any time. OBCIDIO will notify members of these changes or additions by email, other electronic notice, or post made on this page outlinining both the changes made and the effective date.
2.2 Each version of this [Terms of Service Agreement] will be identified at the top of the page by its effective date. If you contuniue to use the service after the notifiaction and effective date, you are constituting acceptance to the new [Terms of Service Agreement]

3. General Outline

• Any person under the age of 18 is prohibited from using OBCIDIO or any of its associated services. Therefore, these individuals under the age of 18 are NOT authorized to use OBCIDIO or its affiliates services. OBCIDIO accepts no liability for such actions or attempts.
• Every new member will go through a verification process after completing their "Virtual Office" and or "Profile" You are free to use the site durring the approval process. If you are not approved your account will be removed from the platform immediately. This verification process is strictly intended to verify if you meet the integrity requirements outlined in this agreement. OBCIDIO accepts no responsibility for the intentions current or future, previous back ground history, or any legal history of any member including representatives of businesses. Conduct any commerce on this site with EXTREME CAUTION exercising your own vetting and due diligence processes, and proceed with any commerce on this platform at your own risk!
• If at any time of your membership you are demed dubious, misrepresentitive, or dont fit the core values and intergrity of this platform, your account will be suspended or removed from the system. OBCIDIO reserves the right to remove any account at any time, with no prior notice!
• NO Muliti Level Marketing programs (MLM's), Home Based businesses, Pornography/ Prongraphy related businesses, or Adult Entertanimet businesses are allowed on this platform.
• NO Spam- To maintain the intergrity of this platform OBCIDIO will discountinue any member reported for spam. Spam can be defined on this platform as (speading promotional materials through text or documnets without first having the consent of the member you are sending it to.)
• The content of the pages of this website is for your general information and use only, an is subject to change without notice.
• All information you submit to OBCIDIO must be accurate.
• You will not represent yourself as an employee of OBCIDIO or portray you are in a joint venture, partnership or agency agreement with OBCIDIO or any of it's affliates.
• You are an individual authorised to use the payment method (if selected)
• Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials found or offered on this website for any particular purpose. You acknowledge that such information and materials may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law.

4. Description of Services

OBCIDIO is a software based platform (the "OBCIDIO Platform") that facilitates the locating of financial service providers, products, and vendors. Creating an account allows members ("OBCIDIO Members") access to our software, the ability to interact & connect with other members, create a network, locate funding opportunities, and exchange products and services. Users create profiles to be viewed by other members, selecting the information to be made available to view by the "public".

5. License to Use

5.1 Subject to the terms of this (Agreement), OBCIDIO grants to you a non-exclusive, revocable, non-transferable license to use OBCIDIO Services, including the OBCIDIO Platform. Some of OBCIDIO's services are provided free of charge, while others are provided at a fee. View obcidio.com/pricing/ to learn more about subscription packages.
5.2 Under this [Terms of Service Agreement] you may gain access to the entire platform and all the services it provides, contingent upon membership or subscription level (free or paying membership packages) and a brief verification process. Any violation of these terms and conditions set forth in this agreement will lead to immediate removal or suspension of your account.
5.3 You may not use the system (by way of example only) to create chain letters, send junk email, spam, unsolicited messages, use pyramid schemes, or conduct surveys with information found, or in circulation on the OBCIDIO platform.

6.Securities Solicitation Policy

6.1 Neither OBCIDIO or its affiliates represent that the information presented on this site is accurate, correct, complete, reliable, or otherwise valid.
6.2 Any request, or posting opportunities to buy or sell securities on OBCIDIO's platform will be considered misrepresentation and illegal under State and Federal guidelines, unless securities solicitations are targeted to institutional and or accredited investors under the terms applicable and governed by State and Federal securities laws. Any reported violation of this "securities" provision will lead to immediate removal of the violators (your) profile.
6.3 OBCIDIO provides institutional/accredited investors the legal definition of the Federal statute for them to determine if the meet the guidelines required to be classified as an accredited investor. State statutes are the responsibility of the member for "accredited" classification requirements. OBCIDIO has no way of verifying these "accredited" investors.
6.4 In no way will OBCIDIO or it's affiliates be responsible for any securities transactions preformed on this platform, and members agree OBCIDIO provides no assistance or services in connection with any funding/financing request or any general commerce on this platform except for providing proprietary software to assist in the locating and connecting members through their mail system.
6.5 OBCIDIO encourages members to perform due diligence and take EXTREME CAUTION before engaging in any transferring of capital, documents, text, files products, or services.
6.6 OBCIDIO encourages members to perform their own due diligence and vetting process on any members claiming "accredited" status. We have no way of verifying if any member meets all State and or Federal statutes for "accredited status; we simply provide the legal definition in their profile under Investment Capabilities and Interest for them to determine and select what classifies them as "accredited", therefore it is your responsibility to abide by all applicable Sate and Federal laws governing investment opportunities.
6.7 Members that have not completed their profile/"virtual office" may still view "investment opportunities." It is the members responsibility to verify if that individual is an "accredited investor" if pertaining to Federal investment statues before engaging in any commerce with that individual. Labels or identification in public profiles stating accredited status does not mean that individual abides by Federal and State "accredited" status definitions, OBCIDIO DOES NOT verify theses "accredited" classifications.

7. Accredited Investor Verification

7.1 Accredited and intuitional investors using OBCIDIO's platform must comply with all applicable provisions of security laws and regulations set forth at both the State and Federal level. Furthermore all "accredited" individuals using this platform must define themselves as meeting all obligations and requirements defined under the Federal and State securities laws. Any filling requirements in States where registered "accredited" are the responsibility of the member.
7.2 You agree to hold OBCIDIO and it's affiliates harmless of any misrepresentation by any member using this platform. You also agree OBCIDIO only provides the Securities Link to members who claim eligibility for "accredited status" and has no way of verifying the validity of there classification selection.
7.3 You agree it is your responsibility to perform your own due diligence and proceed with EXTREME CAUTION if attempting to engage in any commerce with any "accredited" members.
7.4 Members that have not completed their profile/"virtual office" may still view "investment opportunities." It is the members responsibility to verify if that individual is an "accredited investor" if pertaining to Federal investment statues before engaging in any commerce with that individual. Labels or identification in public profiles stating accredited status does not mean that individual abides by Federal and State "accredited" status definitions, OBCIDIO DOES NOT verify theses "accredited" classifications.
7.5 OBCIDIO encourages members to perform their own due diligence and vetting process on any members claiming "accredited" status. 7.6 In no way will OBCIDIO or any of it's affiliates be responsible for any damages suffered from the exchange of information, the time it takes for that information to reach it's intended source, text contained in documents/files or capital exchanged with any member, on or off this platform. Furthermore you agree to indemnify OBCIDIO or any of it's affiliates against future suits or conflicts that may result in relation to any commerce conducted with "accredited members" to the fullest extent of the law.

8.Trademark & Copyright

8.1 This website contains material which is owned by or licensed to OBCIDIO, LLC. This material includes (but is not limited to) the design, layout, look, appearance and graphics. Reproduction is prohibited other than in accordance with the copyright notice, which forms part of these terms and conditions.
8.2 Trademark- All names, logo's, designs, colors, and fonts used on OBCIDIO's platform are protected by Federal trademark statutes under OBCIDIO, LLC. Any attempt to redistribute, copy or use these protected designs without OBCIDIO's written consent is illegal, and will constitute a breach of Federal copyright protection laws.
8.3 Copyright- All "creative work" including text, phrases, key concepts, and functions preformed or provided on the OBCIDIO platform, including proprietary software ("DPAL") are protected by Federal copyright statutes under OBCIDIO, LLC. Any attempt to redistribute, copy or use this protected work without OBCIDIO's written consent is illegal and will constitute a breach of Federal copyright protection laws.
8.4 Any attempt to infringe on any of OBCIDIO's patents, trademarks, or copyrights will constitute legal action under any applicable State or Federal guidelines.

9. Charges & Billing

9.1 OBCIDIO bills you through an online account (your "Payment Account") for the services, memberships or products obtained by you under this Agreement. You agree to pay OBCIDIO all charges at the prices then in effect for the services and or any products ordered by you or representative using your account. Furthermore, you authorise OBCIDIO to charge your chosen payment method (your "Payment Method") for such Products and services.
9.2 OBCIDIO requires you to provide current, complete and accurate information for your payment account at all times. You must notify OBCIDIO if your Payment Method is cancelled for any reason. You must also notify OBCIDIO if you become aware of any breach of security in the use of your account or that of any other members.
9.3 You agree to make payment using that selected Payment Method. OBCIDIO reserves the right to correct any errors or mistakes that it makes even if it has already requested or received payment. If OBCIDIO does not receive payment from the provider of your Payment Method you agree to pay all amounts due on your Payment Account upon demand.
9.4 You agree that termination of your membership /subscription by OBCIDIO for a breach of and terms and conditions outlined in this agreement will result in you forfeiting any restitution for any paid memberships/subscriptions.
9.5 Termination, cancellation or suspension of your membership, whether by you or OBCIDIO, will not alter your obligation to pay all charges (if applicable) before such removal, termination, cancellation or suspension (including charges made after termination by you but before OBCIDIO could reasonably act on your termination notice). You will not be entitled to any refunds upon removal, termination, cancellation or suspension of your subscription.

10. Eligibility

10.1 In order to use the OBCIDIO Platform, you must first register for an account. Accounts are only available to individuals 18 years of age or older. Additionally, if you wish to use the OBCIDIO platform as an "accredited" or "institutional investor" you must meet the legal definition of an "Accredited Investor" defined by the Federal Government.
10.2 Suspended, terminated or removed members from OBCIDIO's platform by OBCIDIO staff are restricted from creating another account. Once your account is suspended, terminated or removed you are not eligible to use any services provided by OBCIDIO or it's affiliates.

11.Terms of Information Exchange

11.1 Any information exchanged on this platform is subject to review by OBCIDIO staff, and will become property of OBCIDIO.
11.2 OBCIDIO or it's affiliates do not endorse or recommend, and expressly disclaim all liability related to the information exchanged in boardrooms, deal request, direct messages, IM messaging, or any general communications expressed on or off this site. PROCEED WITH INFORMATION EXCHANGED AT YOUR OWN RISK! As OBCIDIO and it's staff make a concerted effort to uncover dubious or illegal activity per the [Terms of Service Agreement] , it is not guaranteed we will find such material.
11.3 OBCIDIO encourages all members to monitor the site reporting any spam, fraudulent information, pornographic material, and or pyramid/multi level marketing programs. Members can report this type of activity at info@obcidio.com
11.4 Any information exchanged on this platform will be considered "As Is" with no warranty of any kind, and your reliance on this information is at your own risk. OBCIDIO encourages all members to take EXTREME CAUTION and perform their own due diligence, vetting, legal and accounting processes before acting on any information or documents exchanged on this platform.
11.5 IF YOU SEND ANY CONFIDENTIAL INFORMATION THROUGH THE OBCIDIO PLATFORM, we will not and can not be responsible for any damages suffered if this information does not reach it's intended source, does not reach it's intended source on time, is damaged in the process, or any damages whatsoever are suffered in result to this confidential information being exchanged.
11.6 OBCIDIO is authorized to use any information, text, content, pictures, or video at no charge to it's members for any purpose associated with OBCIDIO or it's affiliates.
11.7 OBCIDIO reserves the right to release any user information requested or required to do so by law.

12. Boardroom Activity

12.1 Any information exchanged on this platform including boardroom activity is subject to review from OBCIDIO staff.
12.2 OBCIDIO or any of it's affiliates do not endorse or recommend, and expressly disclaim all liability related to the information exchanged in boardrooms, deal request, direct messages, IM messaging, document & file sharing or any general communications expressed on or off this site.
12.3 Information, documents, files, or text exchanged in these boardrooms are considered "As IS" and you agree to indemnify and hold harmless OBICIDIO, it's employees and affiliates from any damages suffered that could result in legal action.
12.4 By signing this agreement you agree that OBCIDIO has no prior or current knowledge of any members, can not predict the current or future intentions of any member, and therefore accepts no responsibility for any and all damages. OBCIDIO encourages all members to take EXTREME CAUTION and perform their own due diligence before acting on any information, text, files, communications or documents exchanged on this platform.

13. Deal Searches

13.1 Any information exchanged on this platform including "deal searches" is subject to review from OBCIDIO staff.
13.2 OBCIDIO or any of it's affiliates do not endorse or recommend, and expressly disclaim all liability related to the information exchanged in deal request, direct messages, boardrooms, IM messaging, document & file sharing or any general communications expressed on or off this site.
13.3 Information, documents, files, or text exchanged in these deals are considered "As IS" and you agree to indemnify and hold harmless OBICIDIO it's employees and affiliates from any damages suffered that could result in legal action.
13.4 By signing this agreement you agree that OBCIDIO has no prior or current knowledge of any members, can not predict the current or future intentions of any member and therefore accepts no responsibility for any and all damages. OBCIDIO encourages all members to take EXTREME CAUTION and perform their own due diligence before acting on any information, text, files, documents or capital exchanged on this platform.

14. General User Agreements & Unlawful or Prohibited Acts

14.1 In order to best serve our users, and to comply with applicable laws, OBCIDIO has a number of guidelines which govern how you may behave while interacting with the OBCIDIEO Platform. Please review the rules below carefully, any violation of these terms or other terms outlined in this [Terms of Service Agreement] may result in the termination of your access to OBCIDIEO or any affiliates services.
14.2 In order to use the OBCIDIO platform including any affiliate services, you agree to the general terms below: AND WILL NOT:
• Commit Unlawful Acts.
• Spam or send any promotional material(s) to other members without their consent.
• Collect or resell other members personal information or any information circulating the OBCIDO platform. Furthermore, you agree not to obtain or attempt to obtain any information or materials not intended or intentionally made available to you by OBCIDIO.
• Harass other members through demeaning or slanderous comments.
• Misrepresent yourself or any client you claim to represent in a fraudulent or deceitful way.
• Conduct yourself in an unethical way.
• Attempt to solicit members of OBCIDIO in an effort to leave or join a service that is considered like in kind, or service offering similar services OBCIDIO provides in part, or in whole.
• Use the platform services in any manner that could disable, damage, overburden, harm or impair both services provided on the platform and services provided to other members, or attempt to harm the infrastructure of OBCIDIO of it's affiliates in any way.
• Use any offensive or non professional profile pictures in your virtual office. OBCIDIO is a professional platform and encourages members to use "professional" portraits for their avatar. OBCIDIO reserves the right, in it's sole discretion to remove any profile picture that does not fit the values of the OBCIDIO platform and or cancel, suspended or terminate the offenders membership at any time.
14.3 When using this platform you are subject to all the terms and conditions outlined applying to those areas. Any violation of the terms set forth above including but not limited to any other terms set forth in this [Terms of Service Agreement] will result in immediate removal, termination or suspension of your membership.

15. Termination of Membership

15.1 By signing this agreement you consent to OBCIDIO reserving the right, in it's sole discretion to remove, terminate or suspend your account with no prior notice at any time. If any terms of this agreement are violated OBCIDIO has the right but not the obligation, to terminate or suspend your membership and all access including but not limited to, open deals, open boardrooms, stored files, communications or files in transit, and or any general messaging and communications locking you out of your account and ceasing all activity immediately with no prior notice.
15.2 OBCIDIO has no obligation to forward any messages, files, text or store any communications or documents in your virtual office or boardroom upon termination. 15.3 OBCIDIO is not liable for any damages including subscription membership (charges made by you after termination or suspension not providing OBCIDIO reasonable time to act on your termination) or fees associated with the suspension or termination of your account. 15.4 You may terminate your OBCIDIO membership at any time, with or without cause, upon notice to OBCIDIO as specified in OBCIDO's help link or by simply selecting the remove account link from your virtual office, provided that you are responsible for all charges, if applicable, which have been submitted prior to your notice of termination, as set forth below.
15.5 If you are participating in any trial period offer, you must terminate your OBCIDIO services subscription membership prior to the end of the applicable trial period in order to avoid incurring service or any other applicable charges. If you fail to so terminate then you hereby authorize OBCIDIO to charge your Payment Method for your subscription.
15.6 Specific OBCIDIO promotions or plans may require termination or cancellation charges, and you agree to pay all such termination or cancellation charges as specified in the materials describing such promotion or plan.
15.7 Termination, cancellation or suspension of your membership, whether by you or OBCIDIO, will not alter your obligation to pay all charges (if applicable) before such removal, termination, cancellation or suspension (including charges made after termination by you but before OBCIDIO could reasonably act on your termination notice). You will not be entitled to any refunds upon removal, termination, cancellation or suspension of your subscription.

16. Inactive Account

16.1 By signing this agreement you consent to OBCIDIO reserving the right, in it's sole discretion to remove, terminate or suspend your FREE account with no prior notice, at any time for inactivity. Inactivity guidelines are not published within this agreement, therefore OBCIDIO will reserve the right to remove, terminate or suspend, if in it's sole discretion, if it deems a FREE account has been inactive for a "reasonable" amount of time. Activity would constitute logging into your virtual office.
16.2 You acknowledge that OBCIDIO reserves the right to sign out, terminate or delete your submissions, including but not limited to, any stored documents, open communications, deals, or boardrooms, where your account has been inactive for a reasonable amount of time. The amount of time that OBCIDIO currently considers as an "extended" period of time is determined based on the particular service to which it pertains, or other user information relating to the particular service.

17. Data Accuracy

We ask that any registration data you provide to OBCIDIO is true, current and complete. In the event that any of this information changes, please update it on your personal profile page in your virtual office. For details on how you can access your stored data, please refer to our Privacy Policy @ obcidio.com/privacy/.

18. Passwords

18.1 Shortly after you complete your registration, OBCIDIO will provide you with a verification email to unlock your user username and password.
18.2 You are responsible for maintaining the confidentiality of this information, and YOU ARE responsible for any commerce, activities and postings that are made using your account.
18.3 No member of OBCIDIO 's staff will ever ask you for your password, so please do not provide it if asked. Should you misplace or forget your password, please contact our technical support staff or utilize our password reset link "lost password" and proceed with directions.

19. Compliance with Applicable Laws

You agree to use OBCIDIO's services only as provided for in this Agreement. You also agree not to use OBCIDIO's services in any way that is in conflict with the law in your jurisdiction. Furthermore, you may not use the OBCIDIO Platform for the transmission of any information that is obscene, libelous, harassing, abusive, threatening, invasive of a user's privacy, or in violation of any other individual's/entities intellectual property rights.

20. Email

20.1 Please use the proprietary email features provided by the OBCIDIO Platform responsibly.
20.2 OBCIDIO reserves the right to contact you on this system during the normal course of business.
20.3 You may not use any OBCIDIO service to send unsolicited commercial email ("spam") or unsolicited mass distribution of files. In order to enforce this provision, OBCIDIO may establish additional policies regarding the use of email features, including, but not limited to, maximum retention times of messages, maximum number of messages sent per day, or a maximum size of a message.
20.4 OBCIDIO reserves the right in it's sole discretion to immediately remove, terminate or suspend, without notice, the membership/subscription of any member found to have violated these terms.
20.5 If you receive any email through OBCIDIO services that you believe is not in compliance with the above provisions, please notify us by forwarding the email, along with an explanatory note, to info@obcidio.com

21. Privacy

21.1 A user may elect to make specific personal or private information viewable through the OBCIDIO Platform. You may not disclose information obtained in this manner to any third parties without first obtaining permission from that user. You agree not to collect or aggregate user information accessible through the OBCIDIO Web Site or OBCIDIO Platform for commercial use or redistribution, including the targeted marketing of non- OBCIDIO services to individual users.
21.2 OBCIDIO reserves the right in it's sole discretion to immediately remove, terminate, or suspend your membership without notice if found to have violated these terms.

22. Full Disclaimer

22.1 None of OBCIDIO, it's affiliates, their perspective members, officers, directors, employees, agents, suppliers, or licensors [collectively, the "OBCIDIO Parties"] makes any warranties or representations about the OBCIDIO platform "website" including but not limited to their accuracy, completeness, reliability, or validity. None of the OBCIDIO Parties shall be subject to liability for truth, completeness or accuracy of any information, documents, text, or communications made available through the OBCIDIO platform for errors, omissions or mistakes therein or for any delays or interruptions of the data or information stream for whatever cause. You agree OBCIDIO only provides a centralized linking system and can not be responsible for any damages you may suffer while using this platform. Furthermore you agree that all information on this platform is "AS IS" and that you are using this platform at your own risk.
22.2 OBCIDIO does not provide business advise, investment advise, tax advise, legal advise, or clarifications on any State or Federal statutes, laws or regulations to any member using the platform/ site. Furthermore OBCIDIO does not claim to be a broker, dealer, capital broker, or investment advisor. Nothing herein shall constitute a sale or offer to buy, sell or recommend any securities. OBCIDIO does not make investments.
22.3 Members of the platform-site make their own investment decisions, independent of OBCIDIO or it's affiliates based on their own due diligence and other preference criteria. OBCIDIO is not responsible for and shall have no liability with respect to the actions or omissions of any member using the site.
23.4 As a condition to your use of this platform-site, you herby waive and release any and all claims, causes of action or other rights that you might have against any of the "OBCIDIO Parties" arising out of, or relating to the submissions and review of any materials made available through the site.
23.5 OBCIDIO does not agree to any obligations of confidentiality, nondisclosure, or nonuse, except explicitly provided for in our privacy policy.
23.6 In no event shall any "OBCIDIO Party" be liable for any damages whatsoever including but no limited to, incidental and consequential damages, deletion, corruption or failure to store any messages, files or documents or other content maintained or transmitted by any services; loss of chance, lost profits, any damages resulting from lost data, or business interruption resulting from either a person or entity's use or inability to use the site, or the submission of any material via our site, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if an "OBCIDIO Party" has been advised of such damages.
23.7 Some States do not allow exclusion of implied warranties or limitation of liability for incidental or consequential damages, so the above limitations or exclusions may not apply to you. IN SUCH STATES, THE LIABILITY OF THE COMPANY PARTIES SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
23.8 OBCIDIO reserves the right to terminate any member in it's sole discretion at any time with no prior notice.
23.9 OBCIDIO may make changes to the services and to the information contained in the platform/website at any time with no prior notice.
23.10 You acknowledge that the features, parameters (for example only, the amount of storage available to users) or existence of any service may change at any time. If significant changes are made, OBCIDIO will post the respected changes in the corresponding section of this [Terms of Service] agreement, or provide notification through your mail system.
23.11 YOU SPECIFICALLY AGREE THAT OBCIDIO IS NOT LIABLE TO YOU FOR ANY LOSS OR DAMAGES INCLUDING DIRECT AND INDIRECT LOSSES, OR FOR OFFENSE CAUSED, OR FOR ANY THREATENING, DEFAMATORY, OBSCENE, OFFENSIVE OR ILLEGAL CONTENT UPLOADED TO THE PLATFORM BY A PARTY OTHER THAN OBCIDIO, OR FOR ANY INFRINGEMENT OF THE RIGHTS OF ANOTHER, INCLUDING INTELLECTUAL PROPERTY RIGHTS ARISING FROM THE CONDUCT OF A PARTY OTHER THAN OBCIDIO.

23. Indemnification

You agree to defend, indemnify and hold harmless OBCIDIO LLC, its shareholders, partners, affiliates, directors, officers, subsidiaries, employees, agents, licensees, distributors and content providers from all damages, liabilities, claims and expenses, including without limitation attorneys' fees and costs, arising from or related, directly or indirectly, to any misuse of the Service or breach of this Agreement by you.

24. Severability

If any provision of this [Terms of Service Agreement] is found unenforceable by any court of competent jurisdiction, it will not affect the validity of the other provisions of this Agreement, which shall remain in effect.

25. Arbitration

All disputes arising out of or relating to this Agreement shall be finally settled by arbitration conducted in Tampa, FL under the rules of commercial arbitration of the American Arbitration Association. Both parties shall bear equally the cost of arbitration (exclusive of legal fees and expenses). All decisions of the arbitrator(s) shall be final and binding on both parties and enforceable in any court of competent jurisdiction.

YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND OBCIDIO WHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, WRITTEN OR ORAL, AND ANY OTHER COMMUNICATION BETWEEN YOU AND OBCIDIO RELATING TO THE SUBJECT MATTER OF THIS AGREEMENT.
